Remedi is a suite of mobile apps, apis and databases designed to improve effciency and quality for pharmacies and other small businesses who use our software/platform.

Definitions

When reference to the words "us", "our", "we" is used, it is referring to Vudu Technologies Limited. We are a VAT registered company in England and Wales with the company number 10221603. "Services" is defined as the websites that we operate, along with related sites, software, apis and services that are made available by us.

"You" is defined as the end user of one our Services. You may be the direct, or indirect customer of ours.

By using the Services you consent to our privacy policy and warrant that all data provided by you is accurate.

We do not guarantee the Services or content provided by the Services will always be available or provided with uninterrupted service. We may suspend, withdraw or restrict availability of the Services for business or legal reasons. We will endeavour to provide reasonable notice of any such occurrence.

User generated and third-party content

We are not responsible for any user generated or third-party content that is surfaced via our Services. We do not validate or approve content that our customers add to our Services and advise that you do not rely upon any information for medical, legal or general purposes. Any such views that are expressed by our customers and users of our Services do not represent our views or values as a company. We are also not responsible for any third-party websites or services that we link to or use ourselves.

Our responsibility for loss or damaged suffered by you and our liability limitation

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death, or personal injury caused by our negligence or the negligence of our owners, employees or sub-contractors for fraud or fraudulent misrepresentation.

We exclude implied conditions, warranties, representations or other terms that may apply to our Services or any content on it.

We will not be liable to you for any loss or damage, whether in contract, negligence, strict liability, breach of statutory duty, or otherwise, even if foreseeable arising (or in connection with) any use of, or inability to use our Services or use of or reliance on any content displayed within our Services. We will not be liable for loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect consequential loss or damage.

How you may use our Services

You must keep any account credentials that we provide you with, or you use to access our Services. You may not disclose these credentials to any third party. If we believe you have failed to comply with the provisions laid out in our policies, we have the right to disable access to our Services.

We are the owner or licensee of all intellectual property rights in the Services that we provide or publish as part of the Services. These works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off copies and may download extracts of any information from our Services for your personal use. You are permitted to draw the attention of others within your organisation to this content which is posted within the Services.

You must not modify the paper or digital copies of materials you have printed or downloaded in any way. You must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors or content on our Services must always be acknowledged.

You must not use any part of the content within the Services for commercial purposes, without obtaining a license to do so from us or our licensors.

If you print or download copies of information from our Services and are in breach of our Policies, or your agreement with us is terminated your right to use our Services will cease immediately and you must, at our discretion, return or destroy any copies of the information you have made.

Uploading information to our Services

Whenever you consume a feature of our Services that allows you to upload information (data, images, sound or video content) to our Services you must comply with the standards set our in our Acceptable Use Policy.

You warrant that any such contribution you make complies with those standards and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

Content uploaded to our Services will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content but you are required to grant us and other users of the Services a limited license for the information to use, store, copy and make available to third parties.

When you upload information to our Services, you grant us a non-exclusive, irrevocable, royalty free, worldwide license to use the content as deemed appropriate.

We are not responsible for viruses and you must not upload them to our Services.

We do not guarantee that our Services will be free from bugs or viruses.

You are responsible for configuring your technology, computers, software and platforms to access the Services. You should take appropriate steps to protect your infrastructure from viruses or malicious intent.

You must not misuse our Services by knowingly introducing viruses, trojans, logic bombs, worms or any other malicious technology that is harmful to our Services and data. You must not attempt to gain unauthorised access to our Services, data or infrastructure.

You must not attack our Services or infrastructure with a denial of service attack or a distributed denial of service attack. By breaching these policies, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities, and we will co-operate with these authorities by disclosing your identity to them. In the event of such a break your right to use our Services will cease immediately.

We have the right to disclose your identity to any third party who is claiming that any information uploaded to our Services by you or your customers constitutes a violation of their intellectual property rights, or their right to privacy.

We have the right to remove any information you make available via our Services if the information does not comply to our Acceptable Use Policy.

You are responsible for taking appropriate backups and securing the backups of any information that you upload to our Services.

Linking to our websites or Services

You may link to our websites provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where non exists.

You must not establish a link to our Website or Services in any website that is not owned by you.

Our Services must not be framed on any other site.

The website in which you are linking must comply with the content standards set out within our Acceptable Use Policy.

These Terms of Use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by laws of England and Wales. We both agree to the exclusive jurisdiction of the courts of England and Wales.
